Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and the entity operating the Hydrex interface ("Hydrex", "we", "us", or "our"). By accessing or using any Hydrex websites, interfaces, products, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

"Blockchain" means a distributed ledger or similar technology. "Digital Assets" means any cryptographic token, cryptocurrency, stablecoin, or other on-chain asset. "Smart Contracts" means autonomous code deployed to a blockchain. "Interface" means the Hydrex front-end(s) enabling interactions with Smart Contracts. "Protocol" means the decentralized, non-custodial set of Smart Contracts that may be accessible via the Interface or other means. "Restricted Territories" means any jurisdiction subject to comprehensive sanctions or where use of the Services is prohibited by law.

You represent and warrant that you: (a) are at least 18 years old and have capacity to enter into these Terms; (b) are not located in, incorporated in, or a resident or national of any Restricted Territory; (c) are not subject to, and are not owned or controlled by any person subject to, sanctions administered by the United States (including OFAC), the United Kingdom, the European Union, the United Nations, or any other applicable sanctions authority; (d) will not use a virtual private network (VPN) or other means to circumvent geofencing or access controls; and (e) will comply with all applicable laws, including sanctions, export controls, and anti-money laundering laws.

If you are prohibited under applicable law from using the Services, you must not use or access them. Any use of the Services in violation of these Terms is unauthorized and at your sole risk.

Hydrex is a non-custodial front-end that may allow you to discover and interact with decentralized Smart Contracts deployed to public blockchains (initially Base) (the "Protocol"). We do not custody your Digital Assets, execute trades on your behalf, or act as agent, broker, dealer, fiduciary, or advisor. Interactions you perform occur on-chain at your discretion and risk and are executed by Smart Contracts or third parties, not by us.

The Protocol is autonomous and may be governed by mechanisms outside of our control. We may contribute code or tooling, but we do not have the ability to reverse, cancel, or modify on-chain transactions. Access to the Protocol is not exclusive to the Interface and may be available via third-party interfaces or direct interaction.

To use the Services, you must connect a self-custodial wallet. You are solely responsible for safeguarding your private keys, seed phrase, and wallet security. All transactions are final once confirmed on-chain. You are responsible for reviewing and approving transactions and Smart Contract permissions. We cannot recover keys, reverse transactions, or mitigate approvals.

You are solely responsible for all network fees (gas), slippage, miner/validator tips, and any interface or protocol fees that may apply. Fees may change without notice and may be retained by third parties. You are responsible for all taxes associated with your use of the Services and your Digital Asset activities.

Digital Assets and Smart Contracts are experimental and involve significant risks, including total loss of value, loss of access, market volatility, liquidity risk, protocol bugs, cyberattacks, front-running, sandwiching, network congestion, reorgs, chain forks, validator failures, oracle failures, bridge failures, and changes in law or regulatory actions. You acknowledge and accept all such risks.

Data displayed via the Interface (including prices, APYs, analytics, and balances) may be delayed, incorrect, or provided by third parties. You must not rely on any information as accurate, complete, or current.

Any APY, APR, reward rate, or emissions figure visible in the Interface is hypothetical, non-binding, and for informational purposes only. Such figures may be model-derived or provided by third parties and can change without notice. Past performance does not guarantee future results.

The Services are for informational and operational purposes only and do not constitute investment, legal, accounting, or tax advice. We do not make recommendations or solicitations to buy, sell, or hold any Digital Asset. You are solely responsible for your decisions and should consult independent professional advisors.

You may not: (a) use the Services for any unlawful purpose, including money laundering, terrorist financing, sanctions evasion, market manipulation, or distribution of illicit goods; (b) access or use the Services if you are in a Restricted Territory, on any sanctions list, or acting on behalf of such persons; (c) attempt to probe, scan, or test the vulnerability of any system or Smart Contract or to breach security or authentication measures; (d) interfere with or disrupt the Services, including via denial-of-service attacks, front-running or sandwiching attacks, or spam; (e) use bots or automated means except as expressly permitted; (f) circumvent geofencing or other access controls (including via VPN, proxy, or Tor); (g) resell, white-label, or commercially exploit the Interface without our written permission; (h) reverse engineer, decompile, or otherwise seek to access source code of proprietary components; (i) submit malicious code or data; or (j) impersonate others or misrepresent your affiliation.

We may process limited information necessary to operate and secure the Services, such as wallet addresses, on-chain activity, device and browser metadata, and usage analytics. Our use of data is described in our Privacy Policy. On-chain data is public and immutable.

We may use cookies and similar technologies. You can control cookies in your browser. We do not sell personal data for marketing.

The Interface, brand, logos, text, graphics, and other proprietary materials are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Interface solely as permitted by these Terms.

Open-source components of the Protocol are licensed under their respective open-source licenses, which govern to the extent of any conflict. No rights are granted by implication or estoppel.

If you provide ideas, feedback, or other content ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and exploit the Feedback without compensation or attribution.

You represent that you have all necessary rights to submit Feedback and that it does not infringe any third-party rights.

The Services may link to or interoperate with third-party wallets, DEXs, bridges, RPC providers, price feeds/oracles, analytics, and other services. We do not control or endorse third-party services and are not responsible for their acts or omissions. Your use of third-party services is at your risk and subject to their terms.

We make no warranty about data from third parties (including prices, APYs, and token metadata). You are responsible for verifying any information before relying on it.

The Interface may surface or route to independent liquidity providers, vaults, or LP managers operated by third parties ("LP Managers"). If you stake, deposit, or allocate assets to any LP Manager, you are interacting with that LP Manager's Smart Contracts and terms—not with Hydrex. We do not sponsor, endorse, or assume responsibility for LP Manager strategies, rebalancing, emissions, fee schedules, or outcomes.

You acknowledge that approvals and transactions are executed against third-party Smart Contracts at your discretion and risk; Hydrex is not a counterparty and has no duty to monitor, audit, or update any LP Manager or its code. Any information presented about an LP Manager is provided for convenience only and may be inaccurate or incomplete. Do your own diligence before depositing.

The Protocol may be governed by decentralized governance. We do not control governance outcomes and are not liable for any changes to parameters, supported assets, or functionality. We may update or discontinue Interface features in response to governance changes at our discretion.

References to any Hydrex-related token ("HYDX") are for informational purposes. HYDX is intended to function, if at all, as a governance or utility token. HYDX does not entitle holders to dividends, revenue share, interest, ownership, control, liquidation preferences, redemption rights, or any promise of value or performance.

Locking HYDX. The Protocol may enable you to lock HYDX into specific account types or escrow contracts that may mint a non-fungible token representing that lock (a "Lock NFT", e.g., voting-escrow). A Lock NFT may permit governance participation (including gauge-style voting) to direct incentives or rewards, if any. A Lock NFT is a technical representation of your lock state; it does not confer rights to revenue or assets and may be non-redeemable before the end of any applicable lock period, all as defined by the relevant Smart Contracts.

Rewards and Emissions. Any incentives, emissions, or rewards that may be influenced by governance voting are not guaranteed, are programmatic or third-party in nature, may be paused, modified, or discontinued at any time by governance or third parties, and do not constitute a debt or payment obligation of Hydrex. Displayed APR/APY or reward rates are estimates only and may be inaccurate.

No Market Support. We do not commit to support markets, provide liquidity, buybacks, listings, or price stabilization for HYDX or any Lock NFT. We do not guarantee transferability, exchangeability, or secondary market availability of Lock NFTs or HYDX.

Compliance. Availability and functionality of HYDX or Lock NFTs may vary by jurisdiction. You are solely responsible for understanding and complying with applicable laws (including tax and securities laws) that may apply to your acquisition, holding, locking, or transfer of HYDX or Lock NFTs.

Nothing in the Services constitutes an offer or solicitation to sell or purchase HYDX or any security, and no information should be relied upon as a promise or guarantee of future availability, features, governance rights, or rewards.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or accurate.

Your use is at your own risk. No advice or information, whether oral or written, obtained from us or through the Services will create any warranty not expressly stated herein.

Hydrex does not provide insurance, guarantees, or compensation for losses arising from hacks, exploits, private key compromise, protocol bugs, third-party failures, market events, or regulatory actions. Digital Assets are not protected by the FDIC, SIPC, or any governmental insurer. You must not expect us to reimburse any loss of funds or to recover assets.

Security reviews, if any, reduce but do not eliminate risk. We have no obligation to monitor, patch, or remediate third-party Smart Contracts, nor to warn you of known or unknown vulnerabilities.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HYDREX OR ITS AFFILIATES, CONTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD $0 AND THE AMOUNTS YOU PAID DIRECTLY TO US (IF ANY) FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Hydrex and its affiliates, contributors, officers, directors, employees, contractors, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services or interaction with the Protocol; (b) your violation of these Terms or applicable law; (c) your infringement or violation of any third-party rights; or (d) any content or data you provide.

We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

We may refuse, restrict, geoblock, or terminate access to any or all of the Services at any time, with or without notice, for any reason or no reason, including to comply with law or mitigate risk. We may disable or remove features, including where we suspect prohibited conduct.

You may stop using the Services at any time. Termination will not relieve you of obligations incurred prior to termination and provisions that by their nature should survive will survive.

You consent to receive communications electronically and agree that such communications satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures and records in connection with the Services.

Notices may be provided via the Interface, website, or email. It is your responsibility to monitor for notices and keep your contact information current if you provide it.

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil disturbances, labor disputes, internet or network failures, power outages, chain halts or forks, protocol bugs, or other force majeure events.

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Services (collectively, a "Dispute") are governed by the laws of the State of Delaware, without regard to conflict of laws rules.

Mandatory Binding Arbitration. Any Dispute will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The seat and venue of arbitration will be Wilmington, Delaware. The arbitration will be conducted by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The parties agree that the emergency measures of protection rules will apply at the arbitrator’s discretion.

Class Action and Jury Trial Waiver. YOU AND HYDREX WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY DISPUTE WILL BE BROUGHT AND RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM.

Small Claims and Injunctive Relief. Notwithstanding the foregoing, either party may seek relief in a court of competent jurisdiction for (a) individual claims within the scope of that court’s small claims jurisdiction, and (b) provisional or injunctive relief to prevent unauthorized use, abuse, or misuse of the Services or infringement of intellectual property rights.

Time Limitation. Any claim you have must be commenced within one (1) year after the claim accrues, otherwise the claim is permanently barred.

We may update or modify these Terms at any time in our sole discretion. We will indicate the latest version date above. Your continued use of the Services after any change constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

We may modify or discontinue any part of the Services at any time without liability to you.

We may assign, transfer, or delegate these Terms or our rights and obligations hereunder without notice. You may not assign these Terms without our prior written consent. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

Headings are for convenience only. No agency, partnership, joint venture, or employment is created as a result of these Terms. Our failure to enforce any provision will not be a waiver. These Terms constitute the entire agreement between you and us regarding the Services and supersede any prior understandings.

You acknowledge that blockchain transactions are executed immediately and that you expressly waive any right of withdrawal to the fullest extent permitted by law. These Terms are written in English. If translated, the English version controls.
